The Fund is a continuously-offered, non-diversified, registered closed-end tender offer fund that seeks to make quarterly tender offers. The Fund is a “fund of private funds” and emphasizes efficient allocation of investor capital, selecting investment vehicles (collectively, the “Portfolio Funds”) managed by independent investment managers. The Portfolio Funds are generally private funds (commonly known as “hedge funds”) not registered under the Investment Company Act of 1940 (“1940 Act”). Many of the Portfolio Funds in which the Fund invests seek to achieve their investment objectives with minimal correlation with traditional equity or fixed income indices. The Fund provides access to an investment strategy modeled after Evanston Capital’s flagship hedge fund strategy.

Evanston Capital Management, LLC (“Evanston”) is an alternative investment management firm focused on providing multi-manager hedge fund programs and custom solutions for institutional and high-net-worth investors. Formed in 2002, Evanston manages a variety of strategies emphasizing more concentrated portfolios by identifying portfolio managers in which Evanston has gained high conviction. Evanston manages commingled funds and offers customized solutions to clients looking to tailor their hedge fund program. Evanston has over 150 institutional investor relationships and approximately $4.6 billion in assets under management as of August 1, 2026.

The Fund is a “fund of private funds” and emphasizes efficient allocation of investor capital, selecting investment vehicles (collectively, the “Portfolio Funds”) managed by independent investment managers (the “Portfolio Fund Managers”). The Portfolio Funds are generally private funds (commonly known as “hedge funds”) not registered under the 1940 Act. Many of the Portfolio Funds in which the Fund invests seek to achieve their investment objectives with minimal correlation with traditional equity or fixed income indices.

Portfolio Funds invested in by the Fund are managed primarily within the following strategies:

  • Long/Short Equity: Seek to profit by taking positions in equities and generally involve fundamental analysis in the investment decision process. Long/short equity strategies may aim to have a net long directional bias, a net short directional bias, or be neutral to general movements in the stock market. Long/short equity Portfolio Managers tend to be “stock pickers” and typically shift allocations between long and short investments based on market conditions and outlook.
  • Event Driven: Seek to invest in opportunities that are created by significant transaction events, such as spin-offs, mergers and acquisitions, and reorganizations.
  • Relative Value: Seek to profit by exploiting pricing inefficiencies between related instruments, while remaining long-term neutral to directional price movements in any one market. Short selling is an integral part of this strategy.
  • Global Asset Allocation/Macro: Seek to exploit opportunities in various global markets. Underlying funds employing these strategies have a broad mandate to invest in markets and instruments they believe provide the best opportunity.

Evanston sources ideas for potential investments primarily from three areas: prime brokers, other hedge fund investors, and portfolio fund managers. In this effort, Evanston is aided by the team’s deep institutional investment management experience, which has helped to cultivate strong relationships among and across this network. By maintaining regular relationships with these parties, Evanston can identify new portfolio funds, especially with regard to the few top-tier hedge fund launches that occur every year. Evanston generally favors portfolio funds that have in the past demonstrated a consistent ability to achieve above average returns. However, Evanston may include newly formed, or emerging, portfolio funds in the fund’s portfolio. The selection of Portfolio Funds is primarily an exercise to identify and understand an investment thesis and process, combined with the assessment of human intellect and character. Regardless of how superior a Portfolio Fund Manager’s investment thesis, process or performance relating to its Portfolio Fund, the Sub-Adviser will only select Portfolio Funds which it believes are of the highest quality.

A founding partner of Evanston Capital, Adam joined the firm in 2002. He previously worked for both the Prime Brokerage and the Asset Management divisions of Goldman, Sachs & Co., where he focused on fund finance, product structuring, leverage solutions and worked in the Quantitative Research Group. Adam also previously served as Head Trader at AQR Capital Management with a focus on risk management, strategy research, and analysis of fund-level volatilities and correlations. Adam earned his BS in Economics from the University of Pennsylvania and is a CFA Charterholder.

Does the Fund pay distributions?

Yes. Distributions will be paid at least annually in an amount representing substantially all of the net investment income and net capital gains, if any, earned each year. The Fund is not a suitable investment for any investor requiring routine distributions of income.

Does the Fund have a dividend reinvestment plan (DRIP)?

Yes. Each shareholder will automatically be a participant in the Fund’s Dividend Reinvestment Plan (“DRIP”) and have all income dividends and/or capital gains distributions automatically reinvested in shares. Election not to participate in the DRIP and to receive all income dividends and/or capital gain distributions, if any, in cash may be made by notice to a shareholder’s broker or other intermediary (who should be directed to inform the Fund).

What is the distribution payment process for investors who do not participate in the Fund’s DRIP program? Will my dividend post in my investment account on the same day every month?

On the distribution payment date, the Fund pays the distribution to shareholders who do not participate in the Fund’s dividend reinvestment plan (see “Does the Fund have a dividend reinvestment plan (DRIP)” for more information). Such cash distributions are made via check mailed directly to the record holder by Ultimus, as the Fund’s distribution disbursing agent. The record holder, often a Shareholder’s broker-dealer or other nominee (“street name” holder), will allocate the cash distributions to its shareholder accounts, or process reinvestment transactions, per its client instructions. Processing times at various record holders may vary depending on each firm’s internal processes. Depending on your firm’s processes, the Fund’s distribution may or may not be posted in your account on the same day every month. Delays processing distributions may occur at your record holder/brokerage firm that are outside of the Fund’s control.

Are distributions taxable to shareholders?

Distributions are generally taxable for stockholders as ordinary income and/or capital gain. The Fund will send each of its U.S. registered stockholders an annual Form 1099 after the calendar year end. Form 1099 details the amounts includible in a U.S. stockholder's taxable income for the year and the source(s) of such income.

Tender Offer Schedule

To provide a limited degree of liquidity to investors, the Fund intends on a quarterly basis to offer to repurchase Shares pursuant to written tenders by investors. Repurchases will be made at such times, in such amounts, and on such terms as may be determined by the Board of Trustees of the Fund, in its sole discretion. Shareholders, or their financial representative, will receive written notification of the tender offer.

However, the Fund is under no obligation to repurchase shares at any time and investors do not have the right to require the Fund to repurchase any or all of their shares, and shares are not redeemable. The Board of Trustees may modify, suspend or terminate the quarterly tender offer plan. Please see the Prospectus for a full discussion regarding liquidity and the Fund’s tender offers.

The Fund seeks to achieve its objective by investing substantially all of its assets in Portfolio Funds, i.e., investment vehicles often referred to as “hedge funds”, managed by portfolio fund managers.
